Participant Terms and Conditions - Mrs. India Inc.

• These Participant Terms and Conditions shall be binding on the parties hereto. If the Participant does not agree with these Participant Terms and Conditions, the Participant is requested to not participate in the pageant organized by Mrs. India Inc. (hereinafter referred to as the “Pageant”). Participation in the Pageant shall be deemed as the acceptance of these Participant Terms and Conditions by the Participant. By accepting these Participant Terms and Conditions, Participant agrees and acknowledges that these Participant Terms and Conditions shall be enforced as a legally valid and a binding contract.

  
  

  1. Participant shall be natural born female, Indian citizen or at least shall have one parent of Indian origin or Non-Residential Indian, married (with or without children) and be physically and mentally fit to participate in the Pageant. Participant shall promptly provide to Mrs. India Inc. such certificate/s, medical or otherwise, as may be requested by Mrs. India Inc. from time to time in compliance with this clause.

  
  

  2. Participant should be above the age group of 18 years while participating in Pageant. Participant will be required to produce their age proof (valid Passport or Adhaar card or Voter ID or Driving Licence) if and when may be requested by Mrs. India Inc. Participant agrees and undertakes that in an event wherein the Participant undergoes divorce / separation during the Pageantry year till its grand finale, then she shall keep Mrs. India Inc. sufficiently informed in writing regarding the same.

  
  

  3. Participants can either register themselves online on https://www.mrsindiainc.org/ by paying the registration fee or register themselves by paying the registration fee during the on-ground meet and greet event organized by Mrs. India Inc. in selected few cities.

  
  

  4. Participant shall pay the registration fee of Rs. 3000/- (Rupees Three Thousand Only) including taxes and transaction charges as may be levied thereon, if any, to Mrs. India Inc. in order to register / audition for the Pageant. After successfully making payment of registration fee as mentioned hereinabove, Participant shall receive the payment receipt on their email ids within 2 business days.

  
  

  5. Participant agrees and acknowledges that the registration fee and/or pageant preparation fees, and/or any other fees to be paid / already paid by the Participant (at various stages of the Pageant) for the participation in the Pageant shall be non-refundable and non-transferable in nature under any circumstances. However, in cases of genuine difficulty for the Participant to continue with the Pageant, prior to the date of commencement of the transformative journey, at the sole discretion of Mrs. India Inc., the Participant shall have the option to carry forward its participation for the next year. In such an event, Mrs. India Inc. shall carry forward the registration fees and/or the training and grooming fees, once, to the immediate next Pageantry year only (and not thereafter). However, in no event whatsoever shall any fees paid be refunded. The Participant (if permitted by Mrs. India Inc. at their sole discretion) shall continue with her participation in the ensuing pageantry year as per the applicable scoring parameters informed by Mrs. India Inc. to the Participants from the stage as may be directed by Mrs. India Inc. at the sole discretion of Mrs. India Inc.

  
  

  6. Further, the Participant agrees that any and all fees for the Pageant paid by the Participant is out of the free will and consent of the Participant and at no time Mrs. India Inc. or any of its employees shall be blamed by the Participant at any stage of the Pageant or any time thereafter for extorting/extracting monies or forcing the Participant to pay such fees.

  
  

  7. Participant agrees and acknowledges all the expenses incurred by the Participant for the Pageant including but not limited to fees for the auditions, for registration fees, for enrolment fees / training and grooming fees and/or for the Pageant finale, shall be solely borne by Participant. Participant agrees and acknowledges that all personal expenses of the Participant for the Pageant, including but not limited airfare / roadway / railway travel, wardrobe and other miscellaneous charges shall be all borne solely by the Participant and Mrs. India Inc. shall not be liable or responsible towards the same in any manner whatsoever.

  
  

  8. Participant agrees and acknowledges that Participant shall have to attend each stage of the Pageant, including but not limited to the audition, training and grooming, fund raising, media and public interactions, right from registration of the Participant through the transformative journey up to conclusion of the Pageant, as may be required by Mrs. India Inc. at all times. All Participants that will be shortlisted in the audition stage shall be given their login id and password credentials from Mrs. India Inc. After getting selected in the auditions, Participants shall receive access to the complete Pageant module which shall contain the full manual that shall help the Participant with her preparation for the Pageant. This Pageant module may contain a tentative chronology of events, other activities and tasks to be performed by the Participant at each stage of the Pageant inclusive of the scoring parameters, rules and regulations of the Pageant. The manual shall include information and directions about basic activities to be carried out, guidelines about how and/or what all the documents are required to be submitted for the Pageant, norms to be followed by the Participants during the auditions, tips for practicing etc. In the event the Participant registers for the Pageant online, then the Participant shall also get access to attending the on-ground meet and greet event with the Pageant Director - Ms. Mohini Sharma at no additional cost to the Participant.

  
  

  9. Participant shall participate in the Pageant in a disciplined and diligent manner throughout her participation as per the manual and the time schedule given to the Participant and the Participant shall adhere to these Participant Terms and Conditions as mentioned herein at all times.

  
  

  10. Participant shall be and remain of good health, sound mind and good moral character to be able to participate in the Pageant.

  11. Participant shall be thoroughly instructed, trained, groomed and guided during their training and grooming session about all the activities pertaining to the Pageant alongwith the rules and social media promotions thereof which have to be carried out by her with respect to the Pageant. These activities shall contribute to the overall scoring parameters of each Participant.

  
  

  12. Participant agrees and undertakes to keep all the training and grooming related fees, syllabus, material and videos as strictly confidential and not disclose, share, sell or provide the same to any third-party without the prior written authorization or Mrs. India Inc. in that regard, failing which it shall be deemed to be a breach of these Participant Terms and Conditions. In such an event of breach by the Participant, the consequences as stated in clause lviii hereinbelow shall follow and be applicable.

  
  

  13. Participant shall be obligated / allowed to post any number of promotional activities related to the Pageant on their personal social media page, if such posts have been approved by Mrs. India Inc. prior to such postings and such posts may be further re-posted on the social media page of Mrs. India Inc. at its sole discretion.

  
  

  14. Participant agrees and acknowledges that Participant shall keep her social media handles, pages, profiles well maintained and correctly updated in a professional manner till the conclusion of international pageant and at all times refrain/abstain from posting/uploading anything against or any content not in favour of the Pageant and/or Mrs. India Inc., or any such data, sensitive information and details of the grand finale and/or International Pageant which are shared by Mrs. India Inc. with the Participant solely for the purpose of the Pageant, and all related activities thereto, failing which it shall be considered as a breach of these Terms and Conditions by the Participant. In such an event of breach by the Participant, the consequences as stated in clause lviii hereinbelow shall follow and be applicable.

  
  

  15. Participant shall attend all meetings conducted by Mrs. India Inc. virtually and/or physically, as may be scheduled by Mrs. India Inc., in order to be abreast with the requirements of the Pageant on a timely basis.

  
  

  16. Participant shall keep her medical certificate ready for verification and upon getting selected as the winner, the Participant shall be required to produce original medical certificate for verification purpose certifying physical and mental wellness of such Participant. Participant shall ensure that Participant completes all the formalities and process on a timely basis and submit all the required documents and correct information for verification as and when may be required by Mrs. India Inc. In the event the Participant misrepresents and/or fails to disclose and/or chooses to participate in the Pageant without disclosing such information pertaining to any existing diseases/medical conditions then Mrs. India Inc. shall not be held responsible for any damage/injury to the Participant’s health or performance during the course of the Pageant. For the purpose of these Participant Terms and Conditions, “winner” shall mean and include 6 competing title winners and all their respective first and second runners-up i.e. aggregating to 18 positions in the Pageant, more particularly stated hereinbelow as well as such Participant if she is selected by Mrs. India Inc. to represent at an international pageant. In the event the Participant breaches this clause then the consequences as stated in clause lviii hereinbelow shall follow and be applicable. For the purpose of these Participant Terms and Conditions, Participant/s / winner/s replaced by other Participant for any reason whatsoever in order to participate at the international pageant shall also be considered as a winner and shall hence adhere to these Participant Terms and Conditions alongwith the Winners Terms and Conditions. For the sake of further clarity, the competing titles for winners, in no particular order of preference/ranking shall be as follows:

  • Mrs. Femme India International;

  • Mrs. India Globe International;

  • Mrs. India Galaxy International;

  • Mrs. Universal Women;

  • Mrs. India International World;

  • Mrs. India International Summit.

  Each winner will be accompanied by two runners-up, creating a structured hierarchy of recognition.

  Participant also agrees and acknowledges that Mrs. India Inc. shall be at a liberty to elect the Mrs. Universe entrant / participant of Mrs. India Inc., at its sole discretion as a wild card entry from the top-30 participants of the Pageant. In view thereof, the provisions of this clause pertaining to the winner shall also be applicable to such Participant, if so elected, since the title-holder Mrs. India Universe shall be considered as a winner.

  
  

  17. Participant agrees and acknowledges that post registration for the Pageant by the Participant, the Participant along with the other Participants (collectively referred to as ‘Qualifiers’) shall be required to perform various tasks for the Pageant throughout their Pageantry journey including but not limited to payment of training and grooming fees / enrolment fee, attending the online sessions, training, rehearsals, creating awareness and to raise funds for cancer patients etc. Participant shall also be required to attend the webinars conducted by Mrs. India Inc., once every 15 days, through its various mentors, the Pageant Director, former participants / former winners for training the Participants for the Pageant. All tasks required to be completed by the Participants shall be completed on a timely basis without any delays or holdups by the Participant for any reason whatsoever.

  
  

  18. Participant after getting shortlisted in the audition process shall be obligated to remit to Mrs. India Inc. a sum towards training and grooming fees / enrolment fee as may be informed to the Participants by Mrs. India Inc. for the Pageant failing which the shortlisted participant shall not be allowed to participate further in the Pageant event. Participant agrees to remit the training and grooming fees / enrolment fee as per the timelines provided by Mrs. India Inc. and only after the payment of the training and grooming fees/enrolment fee as stated above, Participant shall get access to the Pageant syllabus for the transformative journey (which shall be for 3 months in total). Mrs. India Inc., holds right to modify/change any such fees/ payment methods/ payment schedule/ schedule of training and grooming on as and when required basis. All Participants that shall pay the training and grooming fees / enrolment fee and participate in Beyond Giving to qualify for the further rounds of the Pageant shall be termed as semi-finalists. For the avoidance of doubts, the training and grooming fees/ enrolment fee for the transformative journey shall be inclusive of the following deliverables on the part of Mrs. India Inc.:

  • Pageantry strategy: A step-by-step guidance on preparing, planning, and excelling in competitions on a national and global stage;

  • Mental and emotional wellness: This shall include the tools taught to the participants to manage stress, build resilience, and stay confident throughout the Pageant journey of the Participant;

  • Communication and voice modulation: This shall include training sessions to enhance speech clarity, tone, and presence for impactful conversations;

  • Public speaking and Q&A training: This shall aid the Participant in building confidence for interviews and answer on-stage questions with ease;

  • Ramp walk: Mrs. India Inc. shall conduct sessions for the Participants to help them master posture, poise, and stage presence for the runway;

  • Grooming and etiquette: This will aid the participants in learning refined manners, pageant etiquette and polish their personality;

  • Social media image building: This will aid the Participant in developing an online persona that reflects professionalism and authenticity;

  • Hair and makeup guidance: This shall guide the Participant through personalized tutorials to enhance their look for different occasions;

  • Personal diet and nutrition guidelines: Participant shall get tailored advice for a healthy lifestyle and glowing presence;

  • Exclusive consultations for the Participants with the on-board:

    • Dermatologist & Skin Expert;

    • Smile Expert;

    • One-on-one session with Ms. Mohini Sharma - the Pageant Director;

  • Finale week preparation including the designer finale look and photoshoot, accommodation and meals, and a finale dinner celebration with co-participants and mentors.

• It is agreed and acknowledged by the Participant that the approximate monetary value of the services provided by Mrs. India Inc. to the Participants for their transformative journey in lieu of the training and grooming fee / enrolment fee is approximately Rs. 10,00,000/- (Rupees Ten Lakhs Only) per Participant which shall be borne by Mrs. India Inc.

  
  

  19. Participant agrees and acknowledges that Mrs. India Inc. shall not be held liable and/or responsible for disqualification of the Participant’s candidature due to any delays or non-receipt of applications and/or a delay / failure in payment of any fee corresponding to any of the rounds of the Pageant from the Participant for any reason whatsoever.

  
  

  20. Participant agrees and acknowledges that Mrs. India Inc. shall not be held liable and/or responsible for any cost, expense, damage, loss or injury (physical and/or otherwise) that may occur to the Participant on account of her participation in the Pageant. The Participant shall participate at her own risk and at her own cost and expenses.

  
  

  21. Participant agrees and acknowledges that various course related tasks like fund raising task, social media task and basic training completion task shall be assigned to the Participant with rules, regulations and scoring parameters by Mrs. India Inc.

  
  

  22. Participant agrees and acknowledges that after the completion of the training or any phase thereof, during the transformative journey, the Participant shall submit all their homework and coursework to their mentors, on a timely basis.

  
  

  23. Participant agrees and acknowledges that Mrs. India Inc. is and shall be affiliated or shall partner/associate with charitable organizations / NGOs, as stated herein, as a part of fund-raising activities of the Pageant to be undertaken by the Participant and the Participant shall have no objection in working for fund raising activities for such organizations / NGOs in relation to the Pageant. Participant further agrees and acknowledges that Mrs. India Inc. is affiliated to Udaan and cancer patients aid and awareness through the Pageant’s initiative of ‘Beyond Giving’; and that there is no minimum amount that needs to be raised by the Participant for the fund-raising activity for ‘Beyond Giving’ and Udaan that is associated with raising funds for cancer patients’ aid and awareness for this Pageantry year. However, the Participant needs to work towards the cause in order to qualify as a semi-finalist along with completing other pageantry tasks.

  
  

  24. A fundraising link of the fund raiser shall be shared by Participant and/or the fund raisers to the Donors in order to raise the desired amount for the social cause funding tasks assigned to the Participant by Mrs. India Inc. Participant may persistently make a contribution to and raise an amount for the social cause funding activities assigned to the Participant by Mrs. India Inc.

  
  

  25. If an amount is raised by the Participant towards the fund raiser, an acknowledgment email shall be sent to the Donor and the fund raiser after the conclusion of the Pageant. An Appreciation letter for fund raising shall be given to the Participant by Mrs. India Inc. Further, top 10 fund raisers are acknowledged at the awards night by Mrs. India Inc.

  
  

  26. Participant shall also be required to complete all tasks provided to the Participant including the fund raising and awareness task for ‘Beyond Giving’ basis which Mrs. India Inc. shall award a prestigious subtitle of ‘Beyond Giving’ recognizing the efforts of the Participant with the highest funds raised for the noble cause.

  
  

  27. Awardees shall be awarded 14 sub-titles in total out of which 11 sub-titles shall be awarded at the awards night and 3 sub-titles for ‘Beyond Giving’, ‘Beyond People’s Choice, ‘Beyond Digital Reach’ shall be awarded at the grand finale. The 3 sub-titles’ awardees as stated herein shall get a direct entry into the finale of the Pageant as Top-30 finalists.

  
  

  28. E-Certificates for donation, participation and competing as a Semi Finalist of the Pageant shall be distributed to each Participant after the completion of the course, and to all the participants who made it to the Top 18 and Top 30 of the Pageant.

  
  

  29. Participant agrees and acknowledges that Mrs. India Inc. reserves the right to reject registration or disqualify any Participant at any stage of the Pageant if any such Participant fails to comply with the requirements as stated in these Participant Terms and Conditions (or as may be amended from time to time) and/or provides any false and/or incorrect information/documents. Further, it is agreed by the Participant that, the Participant shall be solely responsible for any such rejection/disqualification on the grounds as mentioned herein above and Mrs. India Inc. shall not be responsible for any such monetary loss suffered by any of the Participants.

  
  

  30. Participant agrees and acknowledges that Participant shall not during her reign or term of association with Mrs. India Inc., pose for any photography, video or film associated with any nudity or pornography. Participant also agrees and acknowledges that Participant neither has nor will/is/shall be involved pornography and/or in any form of employment/agency which involves partial or complete nudity.

  
  

  31. Participant agrees and acknowledges that Mrs. India Inc. may introduce various sponsors to the Pageant or any part thereof. However, Mrs. India Inc. shall not be held liable and/or responsible in any manner whatsoever; in the event the sponsors do not honour their commitment with respect to any of the participants including but not limited to the prizes, services and/or any other commitments as promised by the sponsors.

  
  

  32. Participant agrees and acknowledges that upon being selected as a semi-finalist and making a payment for the training and grooming fee/enrolment fee for the grand finale, Participant shall not quit or back out from the Pageant, failing which, Mrs. India Inc. shall be at a liberty to take appropriate action/s against such outgoing participant as stated in clause lviii hereinbelow. However, in the event the Participant requires to quit/back-out due to any medical emergency suffered by the Participant herself, the Participant shall provide supporting Medical Certificate alongwith Medical Reports supporting and certifying the same. Further, the Participant agrees and acknowledges that, in the event of backing out by the Participant for any reason whatsoever, including medical emergency, if and as proven by the Participant, Mrs. India Inc., shall not be liable/responsible for refund of any fees or any other amounts as may be paid/incurred by such Participant.

  
  

  33. Non-Compete: Participant agrees and acknowledges that if the Participant is selected as the semi-finalist of the Pageant organized by Mrs. India Inc., then such Participant and/or its affiliates shall not become a member and/or be a part of any other pageant as a consultant and/or mentor and/or founder/co-founder and/or investor and/or take any other designation of any nature whatsoever for any existing and/or new pageant / pageant organization during the tenure of her association with Mrs. India Inc. for a period of 2 (two) years post conclusion of the Pageant in any manner whatsoever without the prior written consent of Mrs. India Inc. in that regard. This obligation shall survive termination of these Participant Terms and Conditions for a period of 2 (two) years from the date of expiry / termination thereof, as the case may be. In the event the Participant breaches this clause then the consequences as stated in clause lviii hereinbelow shall follow and be applicable.

  
  

  34. It is agreed and acknowledged by the Participant that all looks of the Participant including costume/outfits, their fabric, cut, colour, fitting, styling, hair, make-up, jewellery, accessories, shall be tried on the Participant under the supervision of the style directors and designers engaged by the Pageant Director for the Pageant in the finale week, prior to the grand finale. Once the look as a whole is approved by the Participant, the same shall be replicated in the grand finale. In view thereof, no further changes or requests for the same by the Participant shall be entertained by Mrs. India Inc.

  
  

  35. It is to be noted by the Participant that each Participant shall be at a liberty to invite her family members only for the grand finale event as audience. However, the invitations for the Pageant shall be subject to availability and as per the norms of Mrs. India Inc. The guest/s (family member/s) of such Participant shall have to bear their own costs including but not limited to entry ticket charges for the Pageant, food, travel and lodging-boarding. Further, friends and family members of the Participants can book tickers for the events in relation to the Pageant, subject to availability and payment of their own costs. However, no family members or friends, personal staff, team members etc. of the Participant shall be permitted to enter the green room, rehearsals, press conferences, briefings, photoshoots in relation to the Pageant.

  
  

  36. Participant agrees and acknowledges that if the Participant gets selected for the international pageant, then such Participant shall pay the stipulated fees for her participation at the international pageant (which shall be non-refundable and non-transferable in nature) on a timely basis as may be intimated to the Participant by Mrs. India Inc., failing which Mrs. India Inc. shall be at a liberty to replace such Participant’s candidature with the next eligible participant as an official participant for the international pageant. However, such replacement shall not discharge the Participant from her obligation to adhere to these Participant Terms and Conditions.

  
  

  37. Participant agrees and acknowledges that all decisions of directors and judges shall be final, irrevocable and non-contested at all times and the same shall not be challenged at any time by the Participant.

  
  

  38. Participant acknowledges to have completely understood the scoring and the judging parameters and that the Participant shall not contest the same at any time for any reason whatsoever.

  39. In the event the Participant is desirous to terminate her participation in the Pageant, then Participant shall convey the same alongwith reasons therefor to Mrs. India Inc. with a prior written notice of 30 (thirty) days. Acceptance of the termination request shall be at the discretion of Mrs. India Inc. In the event the same is not accepted then such termination shall be construed as a breach of these Terms and Conditions by the Participant. In such an event the consequences as stated in clause lviii shall follow and be applicable.

  40. Participant agrees and acknowledges that any actual or attempted misconduct, and/or misrepresentation on the part of the Participant and/or if the Participant engages in negative insinuations, defamation of other participants/winners, mentors, judges and/or Mrs. India Inc. its employees, affiliates, sponsors and /or the titles awarded by Mrs. India Inc. in any finale event, through any mode, media, format, be it oral, written and/or by actions, will be sufficient grounds for disqualification of the Participation, with/without any justification to such Participant acting in breach. In such an event the consequences as stated in clause lviii shall follow and be applicable.

  
  

  41. Further, the Participant also agrees and acknowledges that any incorrect information provided and/or any information misrepresented by the Participant to Mrs. India Inc. will result in immediate disqualification of such Participant’s participation in the Pageant, whether discovered prior to, during or after participation in the Pageant. In such an event the consequences as stated in clause lviii shall follow and be applicable.

  
  

  42. Participant agrees and acknowledges that in the event the Participant is disqualified from the Pageant at any stage due to any misconduct, or any wrongful acts, or omissions or commissions on the part of the Participant, then Mrs. India Inc. shall be at a liberty to replace such Participant and appoint any other participant as its substitute. In such an event the consequences as stated in clause lviii shall follow and be applicable.

  
  

  43. Participant represents and warrants that Participant is not a party to any contract written and/or oral with any person, firm, company, organization, business, public relation firm/company, publicist, charity or corporation in respect to any present title (in professional capacity) that she holds or may hold, nor has the Participant made any commitments for the future regarding any such titles including but not limited to her association with any third-party pageant etc. that may interfere with these Participant Terms and Conditions in any manner whatsoever. In the event the Participant is already in association and/or in a contract with any third-party brand, institution, organization and/or is deriving commercial gains from such associations, then it shall be the duty and responsibility of the Participant to inform Mrs. India Inc. in writing regarding the same before commencement of any Pageant related rounds and also share a copy of the contract(s) with Mrs. India Inc. In the event it is subsequently found that the Participant has misrepresented her present and/or future written/oral association with any person, pageant, firm, company, organization, business, public relation firm/company, publicist, charity or corporation in respect of any title, then Mrs. India Inc. shall be at liberty to immediately disqualify such Participant from her participation in the Pageant and shall also be at a liberty to terminate these Terms and Conditions. In such an event the consequences as stated in clause lviii hereinbelow shall follow and be applicable.

  
  

  44. Participant agrees and acknowledges that upon being the Winner, the Participant shall unconditionally and promptly sign the Winner’s Terms and Conditions, failing which Mrs. India Inc. shall be entitled to disqualify the winner’s title for such defaulting Participant and replace the disqualified winner with another for the title, at the sole discretion of Mrs. India Inc. In such an event the consequences as stated in clause lviii hereinbelow shall follow and be applicable. Further, notwithstanding such disqualification, these Participant Terms and Conditions shall continue to be applicable to such Participant.

  
  

  45. Participant shall ensure that the Participant shall always stay loyal to Mrs. India Inc. and dedicate their time, effort and energy to the Pageant and to Mrs. India Inc., as and when may be required by Mrs. India Inc.

  
  

  46. Participant agrees and acknowledges that Participant shall adhere to and honour all the norms and regulations of the Pageant and these Participant Terms and Conditions, alongwith the Non-Disclosure Agreement executed by and between the Participant and Mrs. India Inc. from date of acceptance/execution (as the case may be) till disqualification and/or non-qualification of the Participant for further rounds and/or completion of grand finale of the Pageant and/or completion of the international pageant or till termination of these Participant Terms and Conditions and Non-Disclosure Agreement, subject to the continued applicability of the surviving clauses as stated in clause lxvii hereinbelow.

  
  

  47. In the event, the Participant goes through any of the following mentioned events / circumstances, such Participant shall be solely liable and responsible for immediate disqualification of the Participant from the Pageant and further, Mrs. India Inc. shall not be held liable and/or responsible for the further journey of the Participant and/or International Pageant representation of such a Participant:

  1. Expiry of Passport;

  2. Rejection of Visa application / non-availability of Visa (as the case may be);

  3. Failure to pay training and grooming fees/enrolment fee;

  4. Failure to pay International Training fees;

  5. Bankruptcy.

  48. In the event, the Participant fails to maintain a good moral character, then, Mrs. India Inc. at its sole discretion shall be at a liberty and entitled to disqualify such Participant and this shall further be considered as a breach of these terms and conditions. In such an event the consequences as stated in clause lviii shall follow and be applicable.

  
  

  49. Participant shall be bestowed with prizes, crowns, sub-titles and sashes by Mrs. India Inc. which shall remain the sole and exclusive property of Mrs. India Inc. and that the Participant shall not misuse, replicate or damage the same.

  
  

  50. Participant agrees and acknowledges that all official sashes, crowns, titles, sub-titles, trophies and all props, garment, costumes, dresses, accessories used by or provided to the Participant during the Pageant along with any such material shared, disclosed with the Participant during the Pageant (collectively referred to as “Materials”), shall be and remain the property of Mrs. India Inc. solely at all times. Mrs. India Inc. shall be entitled to recall the Materials, prior, during or after the Pageant at any time. Participant further agrees that any damage to any of the aforesaid Materials shall be borne at actuals by the Participant without any recourse to Mrs India Inc.

  51. Participant agrees to permit uninterrupted access and inspection of the garments by an employee and/or authorized personnel of Mrs. India Inc. alongwith one member of the stylist team or designer team at the end of every session during which such garments have been worn.

  
  

  52. Participant agrees and acknowledges that the cost of garment/costume alterations shall be ₹1500/- per person and alterations shall be carried out only once per outfit, per person.

  
  

  53. Participant agrees and acknowledges that all intellectual property rights including but not limited to logo, brand name, trade secrets, sashes, crown etc. shall be proprietary to Mrs. India Inc. and the Participant shall at no time, have or claim any share, right, title, interest in the same in any manner whatsoever, failing which it shall be an infringement of the intellectual property rights of Mrs. India Inc. by the Participant. In the event the Participant breaches this clause then the consequences as stated in clause lviii herein shall follow and be applicable.

  
  

  54. Participant agrees and acknowledges to be bound by any and all commitments given or agreed by Mrs. India Inc. to any third-party including but not limited to sponsors, judges, mentors, partners, affiliates etc. in relation to the Pageant (for instance any photoshoot or video shoot for the sponsor or partner or any social media post/s regarding promotion / marketing of any mentor, coach sponsor etc.)

  
  

  55. Participant hereby permits Mrs. India Inc. and its affiliates to photograph, record videos of the Participant during her entire journey in the Pageant and further grants, by way of an exclusive and irrevocable license on perpetuity basis, to Mrs. India Inc. and their affiliates, to telecast live and/or usage, dissemination, sub-license the images, film or videotape any portion of the Pageant that features the Participant. Further, the Participant also agrees and acknowledges that Mrs. India Inc. shall have the sole right, title, interest to use photographs and videos of Participants for publicity, marketing and promotion purpose in connection with the Pageant for the current and future Pageantry years, at no cost.

  
  

  56. Participant agrees and acknowledges that Mrs. India Inc. reserves all the right to reject or refuse to accept any photograph and/or video clipping of the Participant that, in its sole discretion, is found offensive and/or inappropriate or not befitting for the image and reputation of the Pageant.

  
  

  57. If the Participant opts for a photo package in relation to her participation in the Pageant then the Participant agrees and acknowledges that the edited images shall be delivered in 48 hours and the reel format videos shall be delivered in 7-10 working days or within such other time post conclusion of the grand finale of the Pageant as may be required by Mrs. India Inc. to deliver the same.

  
  

  58. Termination & Effects/Consequences of Termination:

  1. Mrs. India Inc. shall be at a liberty to terminate these Participant Terms and Conditions upon occurrence of any of the events as stated hereinbelow:

  1. If the Participant directly or indirectly through her family member(s), representative(s), kin(s), assignee(s), friend(s) or relative(s) is found to be influencing or attempting to influence any of the judges, mentors or sponsors of the Pageant;

  2. If the Participant becomes a part of any controversy/sies which shall / may harm the reputation, name and goodwill of the Pageant and Mrs. India Inc.;

  3. If the Participant infringes and/or misuses any Intellectual Property Right of Mrs. India Inc.;

  4. If the Participant breaches her obligations pertaining to confidentiality and non-disclosure as stated in clause xii hereinabove, including but not limited to sharing or leaking the training material / module and syllabus for the Pageant;

  5. If the Participant has misrepresented her existing / present and/or future written/oral association with any person, pageant, firm, company, organization, business, public relation firm/company, publicist, charity or corporation;

  6. If the Participant fails to comply with any of the requirements as stated in these Participant Terms and Conditions, as may be amended from time to time;

  7. If the Participant fails to provide or provides any false and/or incorrect information/documents to Mrs. India Inc., including but not limited to documents pertaining to her age proof / medical certificate;

  8. If the Participant fails to pay the training and grooming fee / enrolment fee on a timely basis;

  9. If the Participant after being selected as a semi-finalist quits or backs out from the Pageant;

  10. If the Participant is in breach of clause xxxiii pertaining to non-compete in any manner whatsoever or the Participant starts her own pageant;

  11. If the Participant is guilty of any actual or attempted misconduct, and/or misrepresentation on the part of the Participant and/or if the Participant engages in negative insinuations, instigation, defamation (verbal or written or through actions) of other participants/winners, mentors, judges and/or Mrs. India Inc. its employees, affiliates, sponsors and /or the titles awarded by Mrs. India Inc. in any finale event, through any mode, media, format;

  12. If the Participant is selected as a Winner and fails to sign the Winner’s Terms and Conditions;

  
  

  2. Upon occurrence of any of the events as stated in sub-clause A. hereinabove, Mrs. India Inc. shall be at a liberty to exercise any of its rights as may be applicable, depending on the stage of termination / disqualification of the Participant:

  1. Reject registration / participation of or disqualify the Participant at any stage of the Pageant;

  2. Mrs. India Inc. shall be at a liberty to claim liquidated damages from the Participant for such infringement, breach, default on the part of the Participant;

  3. Mrs. India Inc. shall also be at a liberty to claim injunctive reliefs or orders from any competent court or tribunal to restrain the Participant from such acts.

  4. Mrs. India Inc. shall be entitled to claim such other remedy available under law for the time being in force from the defaulting party;

  5. The defaulting Participant shall be responsible and liable to return all prizes, titles, crowns, sashes and any other Materials in the possession of the Participant back to Mrs. India Inc. in the condition in which it was bestowed to the Participant;

  6. Mrs. India Inc. shall be at a liberty to replace such Participant in breach / default and appoint any other participant as its substitute in her place;

  7. In any event whatsoever, Mrs. India Inc. shall not be liable to refund any fees paid by the Participant pertaining to the Pageant or be liable for any costs, expenses or any other amounts incurred/paid by the Participant;

  8. Notwithstanding such termination / disqualification, as the case may be, the surviving clauses as stated in clause lxvii hereinbelow shall continue to be applicable to such Participant for a period of 5 (five) years from the date of termination/disqualification.

  
  

  3. For the sake of clarity, the damages imposed on the Participant for breach of these terms and Conditions shall be to compensate any and all direct and indirect consequential losses, liabilities, claims, damages, costs, expenses etc. as may be suffered by Mrs. India Inc. due to breach or non-compliance of these Terms and Conditions on the part of the Participant. Further, claiming damages by Mrs. India Inc. shall not waive the right of Mrs. India Inc. to exercise further or any other legal remedy prevalent under law.

  
  

  59. Relationship: Participant agrees and acknowledges that Mrs. India Inc. and the Participant are independent of each other and that no relationship of principal-agency, partnership, joint venture, employee-employer or otherwise exist between the Participant and Mrs. India Inc.

  
  

  60. Participant agrees and acknowledges that the Participant at all times shall be and remain solely responsible and liable for her own communications/statements made in public domain and for any adverse consequences thereof and Mrs. India Inc. shall not be held liable and/or responsible and/or made a party to the same in any manner whatsoever at any time. However, if due to such objectionable communications/statements publicly made by the Participant cause any injury or harm to the nation’s image and/or causes any harm to or prejudicially jeopardises or the goodwill, reputation and brand of Mrs. India Inc. in any manner whatsoever then such Participant shall be penalized for damages actually suffered by Mrs. India Inc. including a claim on the Participant as penalty for business loss suffered by Mrs. India Inc. and further exercise any other leal remedy prevalent under law.

  
  

  61. Participant agrees and acknowledges that in the event of any failure, interruption or delay in performance of Mrs. India Inc.’s obligations towards the Pageant and/or the international pageant resulting from acts, events, or circumstances not reasonably within Mrs. India Inc.’s control including but not limited to occurrence of Force Majeure Event/s then Mrs. India Inc. shall not be held liable or have any responsibility of any nature whatsoever for loss or damage, including injury, thereby incurred or suffered by the Participant.

  
  

  62. Participant shall indemnify, keep indemnified and hold harmless Mrs. India Inc. and its employees, affiliates, partners, sponsors and agents, now and/or in future, directly and/or indirectly, against any and all losses including but not limited to consequential losses, costs, expenses, damages, penalty, interest, charges, claims, actions including legal actions, fees (including attorney fees), proceedings and demands due to or arising out of or due to the Participants’ breach of these Terms and Conditions.

  
  

  63. Participant hereby agrees to abide by all rules and regulations formulated by Mrs. India Inc. from time to time. In the event of any changes the Participant shall continue to adhere to and follow such revised rules and regulations.

  64. Waiver: Failure to enforce compliance with any term or condition of these Participant Terms and Conditions shall not constitute a waiver of such term or condition or the right to subsequently enforce such term or condition in the future by Mrs. India Inc. No waiver of any provision of these Participant Terms and Conditions by Mrs. India Inc. shall in any event become effective unless the same shall be in writing and such waiver shall be effective only in the specific instance described and for the purpose that the waiver is given.

  65. Severability: If any provision of these Participant Terms and Conditions is found by any prevailing laws, Government or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or un-enforceability of such provision shall not affect the other provisions of these Participant Terms and Conditions and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. The Parties hereby agree to attempt to substitute for any invalid or unenforceable provision with a valid or enforceable provision, which achieves to the greatest extent possible the economic, legal and commercial objectives of the invalid or unenforceable provision.

  66. Remedies: No remedy conferred by any of the provisions of these Participant Terms and Conditions is intended to be exclusive of any other remedy which is otherwise available at law, in equity, by statute or otherwise, and each and every other remedy shall be cumulative and shall be in addition to every other remedy given hereunder or now or hereafter existing at law, in equity, by statute or otherwise. The election of any one or more of such remedies by Mrs. India Inc. shall not constitute a waiver by Mrs. India Inc. of the right to pursue any other available remedy.

  67. Survival: Any and all obligations under these Participant Terms and Conditions which, by their very nature should reasonably survive the termination or expiration of these Participant Terms and Conditions, shall so survive including but not limited to the obligations on the Participant pertaining to confidentiality, non-disclosure, non-compete, effects/consequences of termination, indemnification, governing law and jurisdiction, dispute resolution, remedies and intellectual property right, as stated in these Participant Terms and Conditions.

  68. Governing Law and Jurisdiction: These Participant Terms and Conditions shall be governed by the laws in India and courts in Mumbai alone shall have exclusive jurisdiction over matters relating to or arising from this Participant Terms and Conditions.

  69. Dispute Resolution: The Parties shall attempt in good faith to resolve any dispute, difference or claim arising out of or in relation to these T&Cs through mutual discussion. In case it is not resolved within thirty (30) days from receipt of the written notice (setting out the dispute or claim) by the Participant then Mrs. India Inc. shall issue a notice of reference, invoking settlement of such dispute through Arbitration. Any and all disputes (“Disputes”) arising out of or in relation to these T&Cs between the Parties hereto or arising out of or relating to or in connection with these T&Cs or the performance or non-performance of the obligations of the Participant as set forth herein or the breach, termination, invalidity or interpretation thereof, shall be referred to a Sole Arbitrator for arbitration in accordance to the provisions of the Arbitration and Conciliation Act, 1996 or any amendments thereof. Arbitration shall be conducted by a sole arbitrator to be appointed mutually by both the parties failing which the provisions of the Arbitration and Conciliation Act, 1996 or any amendments thereof shall be applied. The place and seat of arbitration shall be Mumbai and the language used in the arbitral proceedings shall be English. Costs of arbitration shall be borne equally by the parties hereto unless otherwise awarded. The arbitral award issued by such Arbitrator shall be in writing.

• Mrs. India Inc. urges all prospective participants that only after understanding all the terms for participation, the participants shall fill in the registration form and submit documents as required at the time of Registration. However, upon ticking the below box, it shall be considered as the Participant has read and understood the terms and conditions thoroughly and have accepted them in its entirety. Kindly note, participation of the Participant shall be considered as deemed acceptance of these Participant Terms and Conditions, irrespective if the Participant has failed to tick the below box or has failed to sign these Participant Terms and Conditions.

Refund Policy

• All payments made to Mrs India Inc. for services or participation fees are non-refundable.

Cancellations:

• Once a payment is made, cancellations are not permitted.

• No cancellations will be accepted for special promotional or discounted fees.

No Refund Policy:

• We do not offer refunds for any payments made, including but not limited to registration fees, participation fees, or any other charges.

• In case of event cancellation by Mrs India Inc., alternative options may be provided at our discretion.
